Jimothy End User License Agreement
Version 2026-10-24 · Last updated October 24, 2026
This End User License Agreement (“Agreement”) is between you and EchelonOne, Inc. (“EchelonOne”, “we”, “us”). It covers the Jimothy desktop app, its command-line tools, its server and container images, and any updates to them (together, the “Software”).
Please read it carefully. By clicking “I agree”, or by installing or using the Software, you accept this Agreement. If you don’t agree, don’t install or use the Software. If you accept on behalf of a company or other organization, you confirm that you’re authorized to bind it, and “you” means that organization.
This Agreement limits our liability, and makes you responsible for what the Software and the AI agents it runs do on your behalf (sections 4, 9, 10 and 11).
1. License
As long as you comply with this Agreement, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for your own personal or internal business purposes.
The free version of the Software is free to use. Some features need a paid plan or a license key. Those features are covered by the Jimothy Terms of Service, and you may use them only while your plan or key is active.
The Software is licensed, not sold. We and our licensors keep all rights not expressly granted to you.
2. Restrictions
You may not, and may not let anyone else:
- copy the Software, except as needed to install and use it as allowed here and to make reasonable backups;
- modify, translate or create derivative works of the Software;
- reverse engineer, decompile or disassemble the Software, or try to derive its source code, except to the extent that applicable law expressly allows it despite this restriction;
- sell, rent, lease, lend, sublicense, distribute or host the Software for others, or offer it as a service;
- remove, bypass or tamper with license checks, plan limits, feature gates or usage metering;
- remove or alter any copyright, trademark or other notices in the Software; or
- use the Software to break the law, to infringe anyone’s rights, or to access systems, accounts or data you aren’t authorized to access.
3. Your data
The Software runs on computers you control. Your code, prompts, issues, agent output, logs and credentials stay on those computers, or go directly to the third-party services you connect. They don’t pass through us, unless you use a hosted feature that says otherwise.
The Software may contact us to check for updates. When you accept this Agreement, the Software records that you did: the Agreement version and time, the app version and operating system, and a random install id that isn’t tied to you or your account. If you opt in, it also sends anonymous usage analytics, which you can switch off at any time. Our Privacy Policy explains what we collect and why.
4. AI agents and automation: your responsibility
The Software lets you run AI agents, scripts and commands (“Automations”). They work autonomously, often without asking for confirmation, and with the permissions of the user account and credentials you give them. Depending on how you set them up, Automations can read, change or delete files; run any command; change, commit, push, merge or deploy code; create, change or close issues; send messages; and spend money through the services they use.
You understand and agree that:
- you choose and configure every Automation. That includes its harness and model, its prompts, the permissions and flags it runs with, its triggers, and its approval steps. You’re solely responsible for everything an Automation does, and for its results;
- AI output can be wrong, insecure, incomplete or harmful. You’re responsible for reviewing it before you rely on it, merge it, deploy it or send it anywhere;
- content from outside, such as issue text, comments, messages and web pages, can contain instructions meant to manipulate an agent (“prompt injection”). You decide which sources can start or feed an Automation, and you take the risk of the ones you allow;
- you’re responsible for safeguards: approval gates, isolated workspaces, least-privilege credentials, backups and version control. We recommend you use them, especially for anything that pushes, deploys or deletes; and
- we don’t control, and aren’t responsible for, the third-party AI models, tools and services that Automations use, or for what they do.
5. Third-party services and costs
The Software works with services run by others, such as AI providers, issue trackers, code hosts and chat tools. Your use of each one is governed by that provider’s own terms and privacy policy, and you’re responsible for following them. Any fees, usage charges or API costs you incur through third-party services are yours, including costs run up by Automations. We aren’t responsible for third-party services, their availability, or changes to them.
6. Updates and changes
We may release updates, and the Software may download and install them automatically or prompt you to. Updates can add, change or remove features. This Agreement applies to every update unless an update comes with different terms.
We may change this Agreement. When we make a material change, we’ll update the version and date above and ask you to accept it again in the Software. If you don’t accept the new version, stop using the Software.
7. Ownership and feedback
The Software, including its design, code, prompts, templates and documentation, is owned by EchelonOne and its licensors and is protected by intellectual property laws. “Jimothy” and the Jimothy logo are our trademarks.
If you send us suggestions or feedback, we may use them freely, without any obligation to you.
8. Term and termination
This Agreement lasts until it’s terminated. You can end it at any time by uninstalling the Software and deleting all copies. It ends automatically, without notice, if you breach it. When it ends, you must stop using the Software and delete it.
Sections 2, 4, 5 and 7 through 13 survive termination.
9. Disclaimer of warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, ECHELONONE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY. THIS INCLUDES WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY WARRANTY THAT THE SOFTWARE OR ITS OUTPUT WILL BE ERROR-FREE, SECURE OR UNINTERRUPTED, OR WILL MEET YOUR REQUIREMENTS. YOU USE THE SOFTWARE, AND ANY OUTPUT OF IT OR OF THE AI AGENTS IT RUNS, AT YOUR OWN RISK.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ECHELONONE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES. THIS INCLUDES LOST PROFITS, REVENUE, DATA OR GOODWILL; LOST, CORRUPTED OR DELETED FILES OR CODE; SECURITY INCIDENTS; DOWNTIME; THIRD-PARTY FEES OR API COSTS; AND THE COST OF SUBSTITUTE GOODS OR SERVICES. It applies to damages arising out of or related to the Software, any Automation, AI output, or this Agreement, under any theory of liability, even if we were told such damages were possible.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) US$50.
These limits are an essential part of the bargain between us, and they apply even if a remedy fails of its essential purpose.
11. Indemnification
You’ll defend, indemnify and hold harmless EchelonOne and its affiliates, officers, employees and agents from any claims, damages, losses, liabilities, costs and expenses, including reasonable attorneys’ fees, that arise from:
- your use of the Software;
- your Automations and their output and actions;
- your content, or the content you feed to Automations;
- your use of third-party services; or
- your breach of this Agreement or of the law.
12. Governing law and disputes
This Agreement is governed by the laws of the State of Minnesota, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods doesn’t apply.
Any dispute arising out of or related to this Agreement or the Software will be brought only in the state or federal courts located in Minnesota, and you and we both consent to their jurisdiction. Either party may still seek injunctive relief in any court to protect its intellectual property.
13. General
- Consumer rights. Some places don’t allow certain warranty disclaimers or limits on liability. If you live in one, those parts apply only to the extent your local law permits. Nothing in this Agreement limits rights you have under law that can’t be waived by contract.
- Export. You’ll comply with all applicable export control and sanctions laws. You confirm that you aren’t located in, or a resident of, a sanctioned country, and aren’t on a restricted-party list.
- U.S. Government users. The Software is “commercial computer software”, and government users get only the rights in this Agreement.
- Entire agreement. This Agreement, together with the Terms of Service and Privacy Policy it refers to, is the entire agreement between you and us about the Software. It replaces any earlier understandings.
- Severability and waiver. If any part of this Agreement is found unenforceable, the rest stays in effect. Not enforcing a provision isn’t a waiver of it.
- Assignment. You may not transfer this Agreement without our written consent. We may transfer it as part of a merger, acquisition or sale of assets.
