Terms of Service
Last updated October 24, 2026
Thanks for using Jimothy! These Terms of Service (“Terms”) cover the things around the app: this website, Jimothy accounts, paid plans, and any hosted services we run.
When we say “EchelonOne”, “we”, “our” or “us”, we mean EchelonOne, Inc.
When we say “Services”, we mean jimothy.dev and its download site, Jimothy accounts and paid plans, and any hosted Jimothy features, such as hosted servers, relays or sync.
When we say “you”, we mean the person or organization using the Services. If you use them on behalf of an organization, you confirm that you’re authorized to accept these Terms for it.
The Jimothy desktop app, command-line tools, server and container images are governed by the End User License Agreement (“EULA”), which you accept when you install the app. If these Terms and the EULA disagree about the software, the EULA wins.
We may update these Terms. When we make a significant change, we’ll update the date above and, where it makes sense, tell account holders by email or in the app. Using the Services after a change means you accept the new Terms. Not enforcing a provision doesn’t waive it. These Terms limit our liability (see “Liability” below).
Accounts
- Signing in is optional for the free version of Jimothy. If you create an account, you’re responsible for keeping it and its credentials secure. That includes any users you invite. We aren’t liable for loss or damage caused by a failure to do that.
- You’re responsible for everything that happens under your account, including the actions of users in your organization and of AI agents running with your credentials.
- You must be at least 16 years old, or the age of digital consent where you live if that’s higher, and you must give us accurate information.
- You may not use the Services for anything described under “Use restrictions” below, or let anyone else do so.
Payment, renewals and plan changes
- The free version is really free. We don’t ask for a card, and we don’t sell your data.
- Paid plans are billed in advance, per seat or per plan as shown at checkout, and renew automatically until you cancel. If a payment fails, we may limit paid features until it’s sorted out.
- When you upgrade, we charge immediately. Downgrades take effect at the next billing cycle.
- Prices don’t include taxes. Where the law requires it, we collect and pay them on your behalf.
- Payments are processed by our payment provider. Card details go directly to them and never touch our servers.
- Unless the law requires otherwise, or we say otherwise at purchase, fees are non-refundable, including for partly used billing periods.
- We may change prices. If we do, we’ll tell you at least 30 days in advance, and the new price applies from your next renewal.
Cancellation and termination
- You can cancel a paid plan at any time from your account. Your plan stays active until the end of the period you’ve paid for, and isn’t renewed after that.
- When a hosted service ends, we may delete the content you stored in it, after giving you a reasonable chance to export it. Content on your own machines stays there: we never had it.
- We may suspend or end your access to the Services if you break these Terms, if your use puts others or our systems at risk, or if we’re required to by law. Where it’s reasonable, we’ll warn you first.
Changes to the Services
We may add, change or remove features, or discontinue a Service. If we discontinue a paid hosted Service you’re using, we’ll give you reasonable notice and a pro-rated refund for any prepaid time you can’t use.
Use restrictions
You may not use the Services to:
- break the law, or help anyone else break it;
- infringe anyone’s intellectual property or privacy rights;
- access accounts, systems or data you aren’t authorized to access, or probe, scan or attack our systems;
- send spam or malware, or run agents that harass people or flood other services;
- overload the Services, including through excessive API requests or automated scraping; or
- resell or share the Services, or get around plan limits, seat counts or license keys.
Your content and our software
- Your content is yours. That covers your code, pipelines, prompts and issue data. We claim no ownership of it.
- If you store content in a hosted Service, you give us a limited license to host, process and transmit it, only to run the Service for you. We don’t look at it unless you ask us to (for support, say), we’re required to by law, or we need to investigate abuse or a security issue.
- The website, the Jimothy name and logo, and the software are ours or our licensors’. You may not copy the site’s code or design, or use our logos, without our written permission.
Third-party services
Jimothy works with services run by others, such as AI providers, issue trackers, code hosts and chat tools. Your use of them is governed by their terms, and any fees you incur with them are yours. We aren’t responsible for third-party services.
Features and bugs
We build Jimothy carefully and test it, but it isn’t perfect: like any software, it has bugs, and it may not suit every need. We fix the most important issues first, especially security and privacy issues. We don’t promise that the Services will be uninterrupted or error-free.
Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND. ECHELONONE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES. That includes lost profits, data, code or goodwill, downtime, third-party costs, and the cost of substitute services. It applies to damages arising out of the Services or these Terms, under any theory of liability, even if we were told they were possible.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR US$50.
You’ll defend, indemnify and hold harmless EchelonOne from claims arising out of your use of the Services, your content, your agents’ actions, or your breach of these Terms.
Some places don’t allow these limits, so they apply to you only to the extent the law allows.
Governing law
These Terms are governed by the laws of the State of Minnesota, USA, without regard to its conflict-of-laws rules. Disputes will be brought only in the state or federal courts located in Minnesota, and you and we both consent to their jurisdiction.
If any part of these Terms is found unenforceable, the rest stays in effect. These Terms, the EULA and our Privacy Policy are the entire agreement between you and us about the Services.
